Use KALLISTRO lawfully, protect account access, and review AI outputs and automated actions before relying on them. You retain your Customer Data; KALLISTRO retains its platform and technology. A signed order or data agreement controls where it expressly differs from these Terms.
Agreement and authority
These Terms of Service (“Terms”) govern access to and use of the KALLISTRO websites, platform, APIs, applications, and related services (collectively, the “Services”). By creating an account, accepting an order, or using the Services, you agree to these Terms.
If you use the Services for a company or other organization, you represent that you have authority to bind that organization. In that case, “Customer” and “you” mean the organization. You must be at least 18 years old and legally capable of entering into a contract.
A signed order form, statement of work, data processing agreement, or other written agreement may add to these Terms. If there is a direct conflict, the signed agreement controls for its subject matter.
Accounts and workspace administration
You must provide accurate registration information, keep it current, protect account credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by KALLISTRO's breach of these Terms.
Workspace owners and administrators may invite or remove users, assign roles, manage integrations, and access or control Customer Data according to workspace permissions. If you join an organization-managed workspace, that organization controls your access and may manage or remove the account associated with that workspace.
The Services
KALLISTRO provides business discovery, AI and search visibility, content and intelligence, lead and contact workflows, integrations, automation, communications support, execution, and reporting capabilities. Specific features, limits, and availability depend on the plan, order, configuration, and region.
We may improve, modify, or discontinue features. We will provide reasonable notice when a material reduction to a paid core feature is reasonably expected to adversely affect an active subscription, unless immediate action is needed for security, legal compliance, or third-party platform changes.
Plans, fees, and payment
Fees, usage allowances, billing periods, and payment terms are stated at purchase or in an applicable order. Taxes are additional unless expressly included. Payments may be processed by Razorpay or another payment provider, whose terms also apply to its payment services.
If an order renews automatically, you authorize the applicable recurring charges until cancellation under that order. Except where required by law or stated in a signed order, paid fees are non-refundable. Overdue amounts may result in restricted access or suspension after reasonable notice. Customer remains responsible for undisputed amounts due before termination.
Customer Data
“Customer Data” means information, content, files, records, prompts, communications, and instructions submitted to the Services by or for Customer, including data received through Customer-authorized integrations. As between the parties, Customer retains its rights in Customer Data.
Customer grants KALLISTRO and its service providers a limited right to host, copy, transmit, transform, display, and otherwise process Customer Data only as needed to provide, secure, support, and improve the Services, comply with law, and follow Customer's instructions. Customer represents that it has all rights, permissions, notices, and lawful bases required for its Customer Data and intended use.
Acceptable use
You will not use the Services to:
- violate law, privacy rights, intellectual-property rights, or platform rules;
- send unlawful, deceptive, abusive, or unsolicited communications;
- upload malware, bypass security, probe systems without authorization, or disrupt service;
- access another person's account or data without permission;
- scrape, enrich, combine, or use personal data without the required lawful basis and notices;
- reverse engineer or copy non-public elements of the Services except where law prohibits that restriction;
- resell, sublicense, or provide the Services as a service bureau unless expressly authorized; or
- use automation in a way that exceeds published limits or creates unreasonable load or risk.
Customer is responsible for user activity, campaign recipients, suppression lists, consent records, content, and compliance with communication, marketing, consumer, employment, and data-protection laws applicable to its use.
AI outputs and automated workflows
Some features use artificial intelligence, machine learning, search systems, or automated rules to produce suggestions, scores, drafts, summaries, and actions (“Outputs”). Outputs are probabilistic and may be inaccurate, incomplete, outdated, or similar to content generated for others. KALLISTRO does not promise that an Output is unique or fit for a particular legal, financial, hiring, credit, medical, or other high-impact decision.
Customer must review Outputs and test workflows before publishing, contacting a person, spending funds, changing production systems, or making a material decision. Customer is responsible for prompts, approvals, final content, recipients, actions, and consequences of enabled automations. Human review and appropriate safeguards must be used for consequential decisions.
Third-party services
The Services may interoperate with Google, Microsoft, Meta/WhatsApp, payment providers, search and business-data providers, AI providers, and other third-party products selected by Customer. Third-party services are governed by their own terms and privacy policies. Customer authorizes KALLISTRO to exchange data with them as needed for the requested integration.
KALLISTRO is not responsible for a third party's availability, content, acts, or changes. A provider's restriction, outage, or API change may limit an integration without creating liability for KALLISTRO. Customer is responsible for maintaining any required third-party accounts, permissions, and licenses.
KALLISTRO intellectual property
KALLISTRO and its licensors retain all rights in the Services, software, interfaces, workflows, documentation, designs, trademarks, and technology, excluding Customer Data. Subject to these Terms and payment of applicable fees, KALLISTRO grants Customer a limited, non-exclusive, non-transferable, revocable right to use the Services internally during the subscription term.
If you provide feedback, you allow KALLISTRO to use it without restriction or payment, provided we do not identify you publicly as the source without permission. No rights are granted except those expressly stated in these Terms.
Confidentiality
Each party may receive non-public information that is identified as confidential or should reasonably be understood to be confidential. The receiving party will use reasonable care, use the information only for the relationship, and disclose it only to personnel and providers who need it and are bound by confidentiality duties. This does not apply to information lawfully known without restriction, independently developed, publicly available without breach, or lawfully received from another source. Legally compelled disclosure is permitted, with notice where lawful.
Privacy and data protection
Our Privacy Policy explains how KALLISTRO handles personal data for its website, accounts, and operations. When KALLISTRO processes personal data in Customer Data on Customer's behalf, the parties will comply with applicable data-protection law and any signed data processing agreement. Customer will not direct KALLISTRO to process data in a manner prohibited by law or these Terms.
Suspension and termination
We may suspend access when reasonably necessary to prevent a security threat, unlawful activity, material violation, harm to another party, non-payment, or risk to the Services. Where practical, we will give notice and an opportunity to cure. We may terminate for an uncured material breach, insolvency, or where continued service would violate law.
Customer may stop using the Services and terminate as allowed by its plan or order. After termination, access ends and Customer should export needed data before the effective date. We may delete Customer Data after a reasonable transition period, subject to contract, law, backups, and the Privacy Policy. Terms that by nature should survive will survive, including payment, ownership, confidentiality, disclaimers, liability, and disputes.
Disclaimers
To the maximum extent permitted by law, the Services, beta features, third-party data, and Outputs are provided “as is” and “as available.” KALLISTRO disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. KALLISTRO does not guarantee leads, search rankings, revenue, deliverability, conversion, legal compliance, or any particular business result. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data, arising from these Terms or the Services, even if advised that they were possible.
To the maximum extent permitted by law, KALLISTRO's total aggregate liability arising from these Terms or the Services will not exceed the fees paid or payable by Customer for the Services during the 12 months before the event giving rise to the claim. The exclusions and cap do not apply where liability cannot legally be limited. Each party's payment obligations, fraud, willful misconduct, and unauthorized use of the other party's intellectual property are not limited by this section to the extent prohibited by law.
Responsibility for claims
To the extent permitted by law, Customer will defend and indemnify KALLISTRO against a third-party claim resulting from Customer Data, Customer's unlawful communications or campaigns, violation of the acceptable-use obligations, or use of the Services in breach of these Terms. KALLISTRO will promptly notify Customer and reasonably cooperate, and Customer may not settle a claim in a way that admits fault or imposes obligations on KALLISTRO without written consent.
Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. The courts of competent jurisdiction in India will have jurisdiction over disputes, unless a signed agreement states otherwise or applicable law requires another forum.
Before filing a formal claim, each party will attempt in good faith for at least 30 days to resolve the dispute through written notice describing the issue and requested remedy. Either party may seek urgent injunctive or equitable relief where necessary to protect security, confidential information, or intellectual property.
General terms
Neither party may assign these Terms without the other's consent, except to an affiliate or in connection with a merger, reorganization, or sale of substantially all relevant assets. Neither party is liable for delay caused by events beyond reasonable control. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining terms remain effective. Failure to enforce a term is not a waiver. These Terms and incorporated agreements are the complete agreement for the Services and do not create a partnership, employment, or agency relationship.
Changes to these Terms
We may update these Terms to reflect changes to the Services, law, or business operations. The updated version will be posted here with a revised date. For material changes affecting an active paid subscription, we will provide reasonable advance notice when required. Your continued use after the effective date constitutes acceptance, subject to applicable law.
